Timeline: The long path to a Dell buyout

SAN FRANCISCO/NEW YORK (Reuters) - Dell Inc founder Michael Dell's efforts to take the PC company private began last summer with an idea pitched by its top institutional shareholder, Southeastern Asset Management.

Here is a timeline of the discussions as disclosed on Friday in Dell's preliminary proxy statement:

June 15, 2012 -- Southeastern Asset Management, which owns 146.5 million shares or about 8.4 percent of Dell, contacts CEO Michael Dell to suggest "a going private transaction" and expresses the fund's interest in participating in it.

July 17 -- Michael Dell meets a representative of private equity firm Silver Lake Partners at a conference and they set up discussions in August. In these talks, Silver Lake suggests to Dell's founder he should take the company private.

August 11, 13 -- Michael Dell meets with a representative of another private equity firm, identified in the proxy only as "Sponsor A," to ask what it thought of such a transaction. Sources told Reuters Sponsor A is private equity firm KKR & Co LP. KKR declined to comment.

August 14 -- Michael Dell informs board member and lead independent director Alex Mandl that he is exploring a buyout but says he has made no decision.

August 17 -- The board has a teleconference during which Michael Dell briefs them on the take-private idea and discussions surrounding it. The board decides to consider a potential transaction and other strategic alternatives.

August 20 -- The board forms a special committee consisting of Mandl, former co-director of Goldman Sachs' Americas equity research unit Laura Conigliaro, Marathon Oil Chief Financial Officer Janet Clark and consulting firm Duberstein Group CEO Kenneth Duberstein. Mandl is subsequently appointed chairman of the special committee.

August 21 -- Dell reports weak second fiscal quarter results. Revenue of $14.5 billion was about $300 million less than what management had expected. The company lowers fiscal 2013 outlook.

August 24 to 29 -- Mandl holds discussions with investment bankers JPMorgan Chase & Co and Goldman Sachs Group Inc to select a financial advisor. JPMorgan is retained.

September 14 -- JPMorgan tells the special committee it has identified other financial sponsors as potential buyers but notes that Silver Lake and KKR are best placed as each could complete a transaction with significant committed equity.

October 23 -- Silver Lake and KKR submit preliminary proposals to acquire Dell. Silver Lake's purchase price is between $11.22 and $12.16 per share, and KKR's purchase price is between $12 and $13 per share. Both assume Michael Dell would participate in the deal. KKR also assumes Southeastern would participate.

October 27 - The special committee discusses with Dell Chief Financial Officer Brian Gladden potential strategic alternatives such as returning capital to shareholders through a leveraged recapitalization, accelerating the company's current plan, a transformative acquisition and separating certain businesses.

November 2 -- JPMorgan informs Silver Lake and KKR the special committee is not happy with the price ranges.

November 12 -- Dell hires Boston Consulting Group to review strategic alternatives.

Dec 3 -- KKR withdraws from the process, mainly because it is not comfortable with the risks associated with Dell.

December 4 -- Silver Lake submits an updated proposal to acquire Dell for $12.70 per share.

December 7 -- Mandl invites another firm, identified in the proxy only as "Sponsor B," to consider making a proposal. A source told Reuters Sponsor B is private equity firm TPG Capital LP. TPG did not respond to a request for comment.

December 10 -- Mandl informs Silver Lake its offer price is too low. Silver Lake seeks permission to involve Microsoft Corp, from which it intended to seek financing.

December 14-16 -- The company enters into confidentiality agreements with debt financing sources of Silver Lake: RBC Capital Markets, Credit Suisse Securities, Barclays Capital, and Bank of America Merrill Lynch.

December 17 -- Michael Dell meets with senior representatives of TPG to discuss a potential proposal.

December 23 -- TPG informs it is withdrawing from the process, primarily due to "risks and uncertainties in the PC business."

January 16, 2013 -- Silver Lake submits another proposal to acquire Dell for $12.90 per share.

January 19 -- Mandl tells Michael Dell the special committee is willing to support a transaction at a price of $13.75 per share. Michael Dell then discusses it with Silver Lake, which later proposes a price of $13.25 per share.

January 20 -- Silver Lake informs Dell it is willing to increase its offer price to $13.50 per share.

January 24 -- Silver Lake increases its offer to $13.60 per share.

January 24 -- A party identified as "Strategic Party A" expresses interest in purchasing Dell's financial business for about $3.5 billion to $4 billion. Blackstone Group LP also expresses interest in exploring a transaction. It could not be confirmed whether Strategic Party A IS General Electric Co, which sources previously said had been approached by Blackstone. GE has previously declined comment.

January 29 -- Southeastern informs special committee it would oppose any deal in the range of $14 or $15 per share that did not provide existing large stockholders with an opportunity to participate.

Michael Dell and Silver Lake say they are not interested in pursuing a deal in which any public stockholders would retain an interest.

February 3 -- Silver Lake submits a revised proposal, offering $13.60 per share if the company continues paying its regular dividend, or $13.75 per share if the company stops paying dividends.

February 4 -- Silver Lake ups its offer to $13.65 per share, with the Dell allowed to carry on paying its regular dividend.

Special committee recommends accepting Silver Lake's proposal.

February 5 -- A deal with Silver Lake is announced and a 45-day period starts to uncover other offers. Dell contacts 67 parties, including 19 strategic parties, 18 financial sponsors and 30 others such as sovereign wealth funds. Unsolicited inquiries are also received from four parties, including two strategic and two financial sponsors.

March 5 -- Activist investor Carl Icahn sends a letter to Dell's board stating he is a substantial holder of shares. Icahn later reveals he has $1 billion worth of Dell shares.

March 21 -- Dell advisor Evercore receives an indication of interest from Strategic Party A for a proposed acquisition of Dell's finance business.

March 22 -- Blackstone and Icahn Enterprises send proposals to the special committee. Blackstone, which teamed up with Francisco and Insight Venture partners, offers in excess of $14.25 per share for the whole company, while Icahn offers about $15 per share for 58 percent. Under both proposals, Dell would remain a public company.

March 25 -- Dell releases 274-page preliminary proxy statement on its buyout negotiations.

NEW YORK (MarketWatch) ? This past week, investors and talking heads looking for something to worry about cast their eyes eastward to the Mediterranean island of Cyprus, where a banking crisis threatened to unravel the euro zone?s fragile peace.

The final deal forced investors and big depositors to dig deeper in their wallets to liquidate one weak bank and save a stronger one. As of Thursday morning, banks had reopened and the Cypriot government imposed strict withdrawal limits.

Investors responded with a gigantic ho-hum as European markets rallied Thursday. The Italian election, which resulted in a stalemate and no new government, also has produced big yawns.

And have you heard anyone wringing their hands about the budget gridlock in Washington lately?

After 2-1/2 years in which political events repeatedly shook markets ? from the first Greek crisis in 2010 through the ?fiscal cliff? deal of New Year?s 2013 ? we?re finally at the point where politics don?t matter.

The absence of big elections this year (except in Germany, which we?ll get to later) has combined with a calmer euro zone and a less crisis-prone Washington to produce a more ?normal? market environment in 2013.

That?s why economic growth, earnings, valuations, and seasonal trading patterns, not politics, will move markets for the rest of this year.

And, of course, the Federal Reserve?s loose monetary policy continues to support higher equity prices.

It?s a stark contrast with where we?ve been.

In spring 2010, Greece requested a bailout and the European Union and International Monetary Fund eventually agreed to a ?110-billion rescue. The Standard & Poor?s 500 index /quotes/zigman/3870025 SPX +0.41% ?lost 16% from its April peak before rallying again after Federal Reserve Chairman Ben Bernanke announced a second round of ?quantitative easing? in late August.

Greece got a new bailout in 2011 ? just about when the debt ceiling crisis prompted S&P to lower the U.S.?s AAA credit rating. The S&P slid 19.4% from its late April high, and global markets lost even more in what may have been an abbreviated bear market.

A market free of politics would be a nice change, writes Howard R. Gold.

Then came 2012 with a French election that brought Socialists to power; a drawn-out U.S. presidential election campaign; a power struggle in China, and another outbreak of the European crisis, this time involving Italy and Spain, the euro zone?s third and fourth largest economies.

But in late July European Central Bank chairman Mario Draghi vowed to do ?whatever it takes? to save the euro, and global markets rallied. Since June 2012, the S&P has risen 22% and is now within a hair of its all-time high.

The tumultuous history between The Undertaker and Paul Heyman

At WrestleMania 29,?The Undertaker looks to extend his unprecedented undefeated streak to 21-0 by silencing the longest-reigning WWE Champion of the modern era ? CM Punk. There is certainly no love lost between the two WWE Superstars ??even before Punk took possession of Paul Bearer?s urn and used it as a means to get under The Deadman?s skin, the Superstars had crossed paths before. But now, The Second City Saint is a different competitor ??a better competitor ??and The Phenom?s Streak is in real jeopardy.

After nearly a decade, could Heyman be the deciding factor in the battle at WrestleMania 29? Why would he alter the course of history other than to feed his own insatiable ego? The answer is simple ??payback.

Eyeballs found in KC gas station trash not human

KANSAS CITY, Mo. (AP) ? Police say a pair of eyeballs found in a medical box in a Kansas City gas station's trash bin aren't human.

Police spokesman Steve Young said Thursday that the police lab examined the eyeballs and determined they likely came from a pig.

Young says a worker at a Conoco gas station in northern Kanas City called police after finding the cardboard box late Wednesday. The box was labeled, "Keep refrigerated."

Surveillance video shows two men in a blue Toyota leaving the package on the trash bin.

Young says police aren't investigating further because no crime appears to have been committed. Earlier, police had said that no eye banks or hospitals in the area were awaiting delivery of any eyeballs.

George Zimmerman's brother says Twitter rant a "mistake"

ORLANDO, Florida (Reuters) - The brother of George Zimmerman, the man charged in the 2012 shooting death of unarmed black Florida teenager Trayvon Martin, said on Wednesday he was wrong to tweet a series of racially charged comments about his brother's case.

"I made a mistake," Robert Zimmerman Jr. said during an appearance on CNN's Piers Morgan Live. "It unfortunately may not have helped George."

George Zimmerman was charged with second-degree murder for killing Martin, who was 17, after an altercation in a residential neighborhood in Sanford, Florida.

Prosecutors contend George Zimmerman, then a neighborhood watch captain, racially profiled Martin, then pursued and shot him while Martin was returning from a convenience store to a townhouse where he was staying with his father.

Robert Zimmerman this week posted side-by-side photos of Martin and one of two teenagers arrested last week in a fatal shooting of a 13-month-old boy as his mother was pushing his stroller down the street in a coastal Georgia town.

The separate photos showed Martin and the teenager posing while making an obscene gesture.

Robert Zimmerman wrote in a tweet, "a picture is worth a thousand words ... any questions?" In another tweet, he said, "Lib media shld ask if what these2 black teens did 2 a woman&baby is the reason ppl think blacks mightB risky."

Morgan, in his interview with Zimmerman, called the tweets "incendiary" and "bordering on outright racism."

"I understand this was controversial and I apologize," Robert Zimmerman said.

Mark O'Mara, George Zimmerman's lawyer, has criticized Robert Zimmerman's tweets.

George Zimmerman's trial is set to start in June.

Anyone who?s had a mammogram can understand why Judith (Tina Powell Kennedy), one of the lead characters in Paul Schutte?s Pirates of the Chemotherapy, puts off having the test until it?s too late. That all-too-common reality was only one of many reality checks brought to the stage in the performance by the Roxboro Little Theater, under the direction of Pam Barth, on March 22-24 at the Kirby Cultural Arts Center in Roxboro, NC.

A metaphor for the ways in which pirates and breast cancer survivors share both their missing ?parts? and their strengths, the dramatic comedy celebrates how both are challenged by life?s adversities and choose to fight, even when the only thing they have left is their will to survive. With six local women in the leads, this simple production launches itself into the hearts of the audience, most of whom can name a relative or friend who has taken on the breast cancer battle. The stories each of the six characters in the play tell resonate with both the female and male members of the audience. Judith?s reluctance to have a mammogram evokes knowing nods from the women, whereas Doris? (Maggie Bonafair) blatant sexuality arouses guffaws from both males and females alike.

Playwright Paul Schutte?s delicate balance between characterization and caricature is deftly handled by the play?s director. Pam Barth, an actress herself, has coached her actresses to embody their personas with both understanding and understatement. For example, though Doris? brassiness can tend to be over the top, she tempers it with empathy for twenty-something Peace (Madeline Phillips), who claims to be the reincarnated grandmother of Marilyn Monroe.

Jan Kerr?s character Nancy, the motherly founder of the group, takes no guff from Doris (often telling her ?Shut up, Doris?); but Nancy is a traditional woman whose support for the group goes so far that she covers her own already-growing hair in order to maintain solidarity with the other women. Winnie, played by Karla A. Mitchell, battles her cancer the same way she battled her cocaine addiction: with a tough urban spirit and a wry sense of humor. Though each of the woman has her own battles, they all pull together for Karen (Kim Demetriades) when her husband takes everything she has and leaves.

When Winnie suggests that the women battle their disease in a humorous, strong manner reminiscent of the way handless/eyeless pirates battled their enemies, the relationships between the women strengthen and the comedic aspects of the play take over. Throughout the stories spun by the cohort of women who have come together in a breast cancer support group, dramatist Paul Schutte also underlines the unique ways in which cancer attacks each person whose body it invades, as well as the inimitable differences of the people themselves. This is a story about strength and perseverance in the face of practically devastating odds. It is also the story of the power of women when they bond through laughter and adversity. Many studies have shown that laughter is the best medicine; and by offering this production, the Kirby Cultural Arts Complex also succeeds in delivering a powerful show that has made a difference in donating its proceeds to the Relay for Life for Cancer Research.

The Kirby Cultural Arts Center performance season will end this season?s performance series with Sweet Potato Pie with the Church Sisters, a night of bluegrass performances delivered by ?sweetgrass? female voices at 7:30 p.m. on Saturday, April 13th.

Free bus travel has improved the social lives and independence of 12-18 year olds in London, according to research published today in the journal Mobilities.

Researchers from the London School of Hygiene & Tropical Medicine and UCL (University College London) found that free bus travel which all young Londoners are entitled to by registering for a Zip Oyster Card increased young people's ability to travel independently and extended their opportunities through facilitating extra trips, trips further afield and/or exploratory trips with friends.

Travelling together was reported to be a key feature for young people. Researchers discovered that a 'code of honour' for bus travel has developed: travelling as a group is seen as a sign of loyalty and getting on a bus without friends or leaving them on the bus alone seen as a betrayal. While many adult travellers use a range of strategies to avoid others in shared space, young Londoners are embracing free bus travel as a site of sociability.

First author Dr Anna Goodman, Research Fellow at the London School of Hygiene & Tropical Medicine, said: "Free bus travel has improved independent mobility by giving young people the freedom to get about without always having to ask their parents for money. This made a particular difference for social or recreational trips, which even more affluent parents might not always be willing to pay for. But to the young people these trips were important, a way to gain travel skills, spend time with friends, and come to feel more 'like a Londoner'.

"One key factor in realising these benefits was the fact that free travel is universally available, rather than means tested. Not only did this ensure free travel was not stigmatised, but it also meant groups of friends could travel together without anyone being left out. As such, free travel increased the independent mobility for whole groups of young people, not just for individuals"

More than 100 young Londoners were interviewed in depth to examine how free bus travel has affected young people's independent mobility. The benefits for young people echo benefits of free bus travel for older people which have also recently been described by the same research group. Published in Ageing & Society in late 2012, this second piece of research found that free bus passes for over 60s provided older Londoners with a sense of belonging and visibility in society, improving wellbeing and tackling chronic loneliness.

Free bus travel has improved the social lives and independence of 12-18 year olds in London, according to research published today in the journal Mobilities.

Researchers from the London School of Hygiene & Tropical Medicine and UCL (University College London) found that free bus travel which all young Londoners are entitled to by registering for a Zip Oyster Card increased young people's ability to travel independently and extended their opportunities through facilitating extra trips, trips further afield and/or exploratory trips with friends.

Travelling together was reported to be a key feature for young people. Researchers discovered that a 'code of honour' for bus travel has developed: travelling as a group is seen as a sign of loyalty and getting on a bus without friends or leaving them on the bus alone seen as a betrayal. While many adult travellers use a range of strategies to avoid others in shared space, young Londoners are embracing free bus travel as a site of sociability.

First author Dr Anna Goodman, Research Fellow at the London School of Hygiene & Tropical Medicine, said: "Free bus travel has improved independent mobility by giving young people the freedom to get about without always having to ask their parents for money. This made a particular difference for social or recreational trips, which even more affluent parents might not always be willing to pay for. But to the young people these trips were important, a way to gain travel skills, spend time with friends, and come to feel more 'like a Londoner'.

"One key factor in realising these benefits was the fact that free travel is universally available, rather than means tested. Not only did this ensure free travel was not stigmatised, but it also meant groups of friends could travel together without anyone being left out. As such, free travel increased the independent mobility for whole groups of young people, not just for individuals"

The study, funded by the National Institute for Health Research Public Health Research (NIHR PHR) Programme, also found that free bus travel improved confidence because young people could take 'practice' journeys and could feel secure that they would not be stranded far from home without money to get back.

0Although leading countries call offshores evil, they have set up more than one territory that is under special tax jurisdiction within these countries. Britain has offshores on the islands of Man, Guernsey and Jersey as well as in Gibraltar. The U.S. is using its islands in the Pacific. The modern economy has nothing to do without offshores, says head of the department at the Institute of World Economy and International Relations Sergei Afontsev.

Fongo makes a very public bid for control of Wind Mobile

Canadian carrier Wind Mobile has faced no small amount of tumult in recent months, culminating in direct control by Orascom and talk of shopping the provider around to the highest bidder. We didn't entirely anticipate just who would take up the offer, however: Fongo, best known for its former Dell Voice initiative, has made an overt bid for Wind. The VoIP provider wants to extend Wind's network network across the country while moving subscribers over to Fongo within the space of a year, theoretically creating a perfect match between cheap cellular access and free internet calling. Before anyone pops champagne corks, we'd warn that there's heavy amounts of publicity and symbolism involved in the acquisition attempt. Fongo is offering $1 and a 49 percent stake in its own venture -- that draws attention to its service, but might not hold up in a fierce bidding war. There may be more involved, but we'll have to wait before we know just how serious the move could be. Wind's parent Globalive has declined comment, while Fongo tells us it's waiting on a formal response before putting more of its cards on the table.

AP source: Lohse, Brewers reach $33M, 3-year deal

A person familiar with the deal tells The Associated Press that free agent pitcher Kyle Lohse and the Milwaukee Brewers have reached agreement on a three-year contract worth $33 million.

Several media outlets reported the deal Monday. The person spoke to the AP on condition of anonymity because an official announcement was expected later in the day.

The 34-year-old Lohse joined the Brewers exactly a week before they're set to open the season at home against Colorado.

Lohse enjoyed his best season in the majors last year, going 16-3 with a 2.86 ERA and helping the St. Louis Cardinals earn an NL wild-card spot. He is 118-109 lifetime with a 4.45 ERA in 12 seasons with Minnesota, Cincinnati, Philadelphia and St. Louis.

TORONTO, March 25, 2013--The Registered Nurses Association of Ontario has recognized two St. Michael's nursing leaders for outstanding leadership. Ella Ferris, executive vice-president, programs, and chief nursing and health disciplines executive, received the Leadership Award in Nursing Administration. Heather Campbell, Director, nursing practice and education, received the President's Award for Leadership in Clinical Practice.

"Ella and Heather are leaders in their field," said St. Michael's President Dr. Robert Howard. "They're outstanding assets to our hospital. The fact that St. Michael's came away with not just one, but two of these awards speaks volumes to the professionalism, dedication and excellence of our entire team."

Since joining St. Michael's as a staff nurse in 1972, Ferris has championed nurse-led clinical research, playing a key role in establishing the first nursing research chair at the hospital's Li Ka Shing Knowledge Institute. Ferris also established St. Michael's as an RNAO Best Practice Spotlight Organization, undertaking an unprecedented 17 best practice guidelines to improve patient care.

In less than two years at St. Michael's, Campbell has led the Nursing Practice and Education portfolio through considerable change. Some of her major initiatives have included collaborating with York University to pilot a nurse educator certificate program, and implementing new transfer of accountability guidelines to improve quality patient care. Known as a collaborative leader with an open-door policy, Campbell has been instrumental in ensuring that St.

Michael's nurse practitioners are practising to their full scope.

Ferris and Campbell will receive their awards at the RNAO annual general meeting in Toronto next month.

Researchers at the University of California, San Diego School of Medicine have released study results that show national treatment trends in the surgical management of patients with kidney disease. The study found that partial and complete kidney removal (total nephrectomy) and energy-based techniques to destroy tumors are all on the rise. Surprisingly, the patients most in need of kidney-sparing surgery are still more likely to undergo total nephrectomy. The findings recently published online in BJU International.

"While the overall proportion of patients receiving kidney preserving treatments for localized kidney tumors continues to grow, the most significant, and perhaps unsettling finding was that patients with kidney insufficiency still undergo complete kidney removal even though kidney preserving treatment may be indicated," said senior author Ithaar Derweesh, MD, urologic oncologist at UC San Diego Moores Cancer Center.

The kidney is a vital organ which performs a variety of functions in addition to making urine. It controls blood pressure, bone health, and also makes a hormone to tell the bone marrow to produce red blood cells. Kidney insufficiency is characterized by a progressive decline in kidney function which may affect all of these actions.

"The study, which examined procedures over a 10-year period, found that patients with chronic kidney insufficiency had an almost two-fold higher probability of undergoing total nephrectomy than kidney preserving treatments, such as partial nephrectomy or tumor ablation," said Derweesh, a pioneer in minimally invasive kidney surgery.

Derweesh added that further investigation is needed to confirm these findings, and to examine what factors are responsible for patient and physician selection of treatment for kidney cancer. He noted that in the case of small renal masses less than four centimeters in size, partial nephrectomy has equivalent outcomes to total nephrectomy, and that ablation techniques, such as cryoablation or radiofrequency ablation, and observation are valid options for select patients.

While kidney insufficiency may result in total failure of the kidney, most patients do not progress to dialysis dependence. However, patients with worsening degrees of kidney insufficiency are at higher risk of cardiac events, such as heart attack and stroke, and osteoporosis and anemia.

The UC San Diego study utilized data from the Nationwide Inpatient Sample (NIS), the largest database of all annual hospital admissions in the United States. Approximately 443,850 procedures were included in the study.

Chronic kidney disease (CKD) is a condition characterized by a gradual loss of kidney function over time and affects more than 26 million American adults. The two main causes of chronic kidney disease are diabetes and high blood pressure, which are responsible for up to two-thirds of the cases. Renal cell carcinoma is a commonly diagnosed urological malignancy with an estimated 57,760 new cases and 12,908 deaths in the United States during 2009.
